IMPORTANT: PLEASE READ THIS PRIVACY POLICY CAREFULLY. WE AT APEER INC. (“APEER”) ARE COMMITTED TO PROTECTING YOUR PRIVACY. THIS PRIVACY POLICY APPLIES TO OUR WEB SITE AT www.apeer.com (“SITE”) AND THE APEER SOFTWARE AND SERVICE (“SOFTWARE” AND “SERVICE”) RESPECTIVELY. THIS PRIVACY POLICY GOVERNS THE INFORMATION YOU PROVIDE TO US OR THAT WE LEARN IN CONNECTION WITH YOUR USE OF THE SITE, SOFTWARE AND SERVICE, AND EXPLAINS HOW WE MAY COLLECT, USE, AND, IN SOME INSTANCES, SHARE THIS INFORMATION.

Unless explicitly authorized on the Site, no material from the Site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way. All Apeer trademarks, service marks and trade names (collectively “Marks”) are the proprietary intellectual property of Apeer. We make no warranties, express or implied, regarding the accuracy or reliability of any information or content on our Site, and we assume no liability or responsibility for the accuracy or reliability, including errors and omissions, of the information and content on our Site.

COOKIES. By accessing our Site, Apeer may place cookies on your hard drive. Apeer uses cookies to enable you to sign in to certain services and to help personalize your online experience. A cookie is a small text file that is placed on your hard disk by a web server. Some cookies are used only to assist you with your session on a Web site ”“ such cookies expire automatically after you terminate your session. Apeer may also use cookies to improve the sign-in experience. For example, your user ID may be stored in a cookie that will remain on your computer after you terminate your session. USER-PROVIDED INFORMATION. In order to access the Service, you may be asked to provide certain personal information, such as account information (user name and password), credit card information (card type, account number, expiration date, and billing address), PayPal account information, email address, name and company name, as well as certain demographic information such as city, state, country and zip code ("User-Provided Information"). All such information is provided voluntarily by you. Apeer uses User-Provided Information to deliver the services you have requested and to communicate with you, including certain mandatory service communications such as welcome letters, billing reminders, information on technical service issues, and security announcements. We may also occasionally send you product surveys or promotional mailings to inform you of other products or services available from Apeer. No User-Provided Information is utilized by Apeer for the purpose of displaying advertisements or for profiling. Apeer does not sell, rent or lease User-Provided Information to third parties.

USAGE-DERIVED INFORMATION. Apeer may collect and use non-financial information obtained in connection with YOUR use of the Software and Service (“Usage-Derived Information”). This information may be collected automatically by the Software and servers deployed as part of the Service. Usage-Derived Information may include information about YOUR usage patterns, YOUR computer and other devices running the Software, YOUR operating systems and application software, YOUR media and other files viewed, played or exchanged within the Software and Service, and other data relevant to improving the quality of the user experience. We reserve the right at any time to conduct diagnostics and monitor the performance of the Software and Service.

IP ADDRESSES. Your use of the Site, the Software and Service may involve the transmission of your Internet protocol address ("IP Address") to Apeer's servers. This IP Address is necessary for communication with you via the Internet and may be used and stored on our servers. We use IP Addresses to determine the general geographic locations of our users; we do not link IP addresses to identify you personally for marketing purposes. Apeer does not share such information with third parties.

NO INFORMATION FROM MINORS. You must be at least 18 years of age to use the Software and Service.

DISCLOSURE. Apeer may disclose User-Provided Information and Usage-Derived Information to law enforcement agencies, government officials and other third parties as we believe is reasonably necessary or appropriate to enforce and/or verify compliance with applicable laws, regulations, policies, and the terms and conditions of the Service Agreement. Apeer may also disclose your information upon a transfer or sale to another entity of all or substantially all of Apeer's stock or assets in Apeer's line of business to which this Privacy Policy relates or upon any other corporate reorganization.

PROMOTIONAL INFORMATION. You may choose not to receive marketing and promotional materials from Apeer. These communications choices do not apply to mandatory service communications that are considered part of the Service, which you may receive periodically unless you cancel the Service. You will have the ability to view or edit your personal information at the Site.

LINKS ON AND TO OTHER SITES. Links on third-party Web sites and on our Site do not imply Apeer™’s endorsement of such linked Web sites, advertisers, or products or services. We do not necessarily control the Web sites to which we link and, in any event, assume no responsibility for their content or privacy policies. Any information that you provide to linked Web sites, or other third parties, is provided directly to such third party and is subject to that third party's privacy policy. This Privacy Policy applies solely to information collected by Apeer.

CHANGES AND UPDATES. Apeer reserves the right to change the provisions of this Privacy Policy at any time. The Privacy Policy, as it may be changed, updated and amended, will be posted at our Site. Your use of the Software and Service following the posting of any change to the Privacy Policy will constitute your acceptance of any such changes. We encourage you to review our Privacy Policy frequently to make sure that you understand how Apeer collects, uses, and discloses information.
